Upland Software, Inc. Files Registration Statement for Proposed Initial Public Offering

Upland Software, Inc. today announced that it has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for a proposed initial public offering of its common stock. The number of shares to be offered and the price range for the proposed offering have not yet been determined. The shares will be offered only by Upland Software.

William Blair & Company, L.L.C. and Raymond James & Associates, Inc. will act as joint book-running managers for the proposed offering. Canaccord Genuity Inc. will act as lead manager for the proposed offering and Needham & Company, LLC will act as co-lead manager for the proposed offering.

The offering will be made only by means of a prospectus.
